Master Subscription Agreement
Effective date: October 22, 2026
Giant Context, Inc.
Welcome to Giant Context. This Master Subscription Agreement ("Terms") constitutes a legally binding agreement between you ("you," "your," "User," or "Customer") and Giant Context, Inc., a British Columbia company ("Giant Context," "we," "us," or "our"). By accessing or using the Giant Context platform ("Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms apply to all users of the Service, including organization owners, administrators, members, viewers, and any person who accesses the Service through the API, SDK, MCP server, or any other means.
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.
1. Introduction & Acceptance
1.1. These Terms govern your access to and use of the Giant Context platform, including the applications, APIs, SDKs, Model Context Protocol (MCP) servers and services that form part of it, and the websites you operate through it. Use of the public giantcontext.com marketing site is governed by the separate Terms of Use, not by these Terms.
1.2. By creating an account, accessing, or using any part of the Service, you represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms.
1.3. If you are using the Service on behalf of an organization, company, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" and "your" refer to that entity.
1.4. These Terms incorporate by reference our Acceptable Use Policy ("AUP"), Privacy Policy, and any other policies or guidelines we publish. Together, these documents form the complete agreement between you and Giant Context regarding the Service.

3. Account Registration & Security
3.1. Registration. To use the Service, you must create an Account. We use Firebase Authentication (provided by Google) to manage user authentication. You may register using email/password, Google, Microsoft, or other supported authentication providers.
3.2. Accurate Information. You agree to provide accurate, current, and complete information during registration and to keep your Account information up to date.
3.3. Account Security. You are responsible for maintaining the confidentiality and security of your Account credentials, including any Personal Access Tokens (PATs) and MCP API Keys. You agree to immediately notify us at legal@giantcontext.com of any unauthorized use of your Account or any other breach of security.
3.4. Account Responsibility. You are solely responsible for all activity that occurs under your Account, whether or not you authorized such activity. Giant Context will not be liable for any loss or damage arising from your failure to secure your Account.
3.5. Organizations & Roles. The Service supports multi-tenant Organizations with role-based access control. Organizations may assign users the roles of Owner, Admin, Member, or Viewer, each with different permissions. The Organization Owner is responsible for managing user access and ensuring that all users within the Organization comply with these Terms.
3.6. One Person Per Account. Each Account is for a single individual. You may not share your Account credentials with any other person. Organizations requiring multiple users must create separate Accounts for each individual.
4. The Service
4.1. Platform Description. Giant Context is a multi-tenant SaaS platform providing an integrated suite of tools, including:
- Website — visual page editor, blog, and hosted website serving
- Email — campaign creation, audience management, and delivery
- Forms — form builder and submission management
- Knowledge Base — documentation and help-center management
- CRM — contact and customer-relationship management
- Chat — AI-powered conversational assistant for end users
- Files — file storage, organization, and delivery
- API, SDK, and MCP Server — programmatic access for developers and AI clients
4.2. Service Availability. We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
4.3. Modifications to the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make commercially reasonable efforts to provide advance notice of material changes that affect your use of the Service.
4.4. Third-Party Services. The Service integrates with and relies on third-party subprocessors (including Google Cloud Platform, Google Cloud Identity Platform, Google Gemini, Google reCAPTCHA, and Resend). Stripe processes billing and payment information we control rather than Customer Data, so it is a billing provider and is listed as such in our Privacy Policy rather than among the subprocessors in Annex 3 of our Data Processing Agreement. A current list of subprocessors is published in our Privacy Policy. Your use of such third-party services may be subject to their respective terms and policies.
5. Fees, Billing, and Plans
5.1. Pricing Model. Giant Context is billed on a usage basis. You are charged a single per-Unit rate published at giantcontext.com/pricing. A Unit is a standardized measure of service consumption that aggregates across AI, server, file, uptime, and client usage categories. There are no feature tiers, seat charges, or categorical minimums — one rate, one bill.
5.2. Metering. Unit consumption is metered continuously and attributed to the Organization that owns the Project generating the usage. Metering details and category-level accounting are published at giantcontext.com/pricing.
5.3. Billing Cycle. Fees are billed monthly in arrears based on your actual consumption during the billing period. Invoices are generated and processed through Stripe.
5.4. Payment Method. You must maintain a valid payment method on file. Failure to maintain a valid payment method may result in suspension of the Service.
5.5. Taxes. Fees are exclusive of applicable taxes. You are responsible for any sales, use, value-added, withholding, or similar taxes imposed on your use of the Service, unless Giant Context is required by law to collect them in your jurisdiction.
5.6. Past Due Amounts. If an invoice is past due, we will contact you and provide a reasonable grace period before suspending the Service. Accounts suspended for non-payment may be reinstated upon payment of outstanding amounts.
5.7. Pricing Changes. Giant Context may change the per-Unit rate with at least thirty (30) days' advance notice to the email address associated with your Account and/or through a notice posted within the Service.
5.8. Beta and Introductory Credits. From time to time, Giant Context may offer trial credits, promotional discounts, or other introductory terms. Such offers are governed by the specific terms published at the time of the offer.
5.9. Feedback. If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an irrevocable, perpetual, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.
6. User Content & Intellectual Property
6.1. Your Content. You retain all ownership rights in and to your Customer Data. Giant Context does not claim any ownership interest in your Customer Data.
6.2. License to Giant Context. By uploading, submitting, or transmitting Customer Data to the Service, you grant Giant Context a non-exclusive, worldwide, royalty-free license to use, store, process, reproduce, and display your Customer Data solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete your Customer Data or close your Account, subject to any reasonable backup retention period.
6.3. Responsibility for Content. You are solely responsible for all Customer Data that you upload, submit, or transmit through the Service. You represent and warrant that you have all necessary rights, licenses, and permissions to submit such Customer Data and that your Customer Data does not infringe or violate any third party's intellectual property rights, privacy rights, or any applicable law.
6.4. Giant Context IP. The Service, including all software, technology, designs, trademarks, logos, and documentation, is the exclusive property of Giant Context and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service as described herein.
6.5. DMCA. We respect the intellectual property rights of others. If you believe that any Content on the Service infringes your copyright, please contact us at legal@giantcontext.com with the information required under the Digital Millennium Copyright Act (DMCA).
7. AI Features
7.1. AI-Powered Functionality. The Service includes AI features powered by Google Gemini. AI features include content generation, summarization, semantic search, chat, image generation, and retrieval-augmented generation (RAG). The specific provider used for a given operation may vary based on the task; the current subprocessor list is published in our Privacy Policy.
7.2. Retrieval-Augmented Generation (RAG). To enable semantic search and AI-powered features within your Projects, the Service may chunk, embed, and store your files for vector-based retrieval. All RAG processing is scoped to your Project and Organization and is not shared across tenants.
7.3. Ownership of AI Output. You own all output generated by AI features using your prompts and Customer Data ("AI Output"). Giant Context claims no ownership interest in AI Output.
7.4. No Model Training on Customer Data. Your Customer Data is never used to train, fine-tune, or improve AI models — neither ours nor our AI providers'. We contract with Google under terms that prohibit the use of Customer Data for model training. We do not maintain our own foundation model, and we do not use your content to train any shared model that would be exposed to another customer.
7.5. Human Approval Required. Nothing generated by AI Features is published, sent, or externally transmitted without your explicit approval, except where you have granted Mind permission to act on its own. That permission is off by default, is granted per project, and you may withdraw it at any time. The Service is designed around an approval gate for outbound actions, which you may choose to delegate to Mind as described above.
7.6. AI Disclaimer. AI Output is provided on an "as-is" basis. AI-generated content may be inaccurate, incomplete, or unsuitable for your purposes. You are solely responsible for reviewing, verifying, and assuming all risk associated with any AI Output. Giant Context makes no representations or warranties regarding the accuracy, reliability, or fitness of AI Output for any particular purpose.
7.7. AI Usage Limits. We may impose reasonable limits on AI feature usage, including rate limits, token limits, or quotas. We will notify you of any such limits through the Service or documentation.
8. API, SDK, and MCP Usage
8.1. Programmatic Access. Giant Context provides an API, SDK, and MCP server for programmatic access to the Service. Access to these surfaces requires authentication: Personal Access Tokens (PATs) for API and SDK access, and for the MCP server either OAuth 2.1 with dynamic client registration, which is how AI clients and directory-listed connectors sign in as you, or an MCP API Key.
8.2. Credential Security. You are responsible for the security of your PATs, your MCP API Keys and any OAuth authorization you grant to a client. Treat these credentials as confidential. Do not embed them in client-side code, public repositories, or any location accessible to unauthorized parties. You are liable for all activity conducted using your credentials.
8.3. Rate Limits. The API and MCP server are subject to rate limits. We will publish current rate limits in our API and MCP documentation. Exceeding rate limits may result in temporary throttling or suspension of access.
8.4. Acceptable Use. Your use of the API, SDK, and MCP server must comply with these Terms, the AUP, and all applicable laws. You may not use these surfaces to build a competing service, perform unauthorized data scraping, or circumvent any feature limitations of the Service.
8.5. API Changes. We may modify, deprecate, or discontinue API, SDK, or MCP endpoints and features. We will make commercially reasonable efforts to provide advance notice and maintain backward compatibility where feasible.
9. Custom Domains
9.1. Custom Domain Configuration. The Service allows you to connect custom domains to your Projects. You are solely responsible for domain registration, DNS configuration, and maintaining ownership of any custom domains you connect.
9.2. SSL Certificates. SSL certificates for custom domains are provisioned through Google Certificate Manager. Giant Context will use commercially reasonable efforts to maintain SSL coverage, but we are not liable for any SSL-related issues arising from DNS misconfigurations, domain expiration, or certificate authority failures.
9.3. Domain Compliance. You are responsible for ensuring that your custom domain usage complies with all applicable laws, regulations, and the terms of your domain registrar.
10. Email Delivery
10.1. Email Delivery Infrastructure. Email is delivered through Resend, a third-party email delivery provider. Resend processes recipient email addresses, subject lines, message bodies, and engagement events on our behalf as a subprocessor.
10.2. Compliance Requirements. If you use the email features of the Service, you must comply with all applicable laws and regulations governing electronic communications, including but not limited to the CAN-SPAM Act (United States), the General Data Protection Regulation (GDPR) (European Union), the Canadian Anti-Spam Legislation (CASL), and any other applicable anti-spam or privacy laws in your jurisdiction.
10.3. Consent. You must obtain proper consent from all recipients before sending marketing emails through the Service. You are solely responsible for maintaining records of consent and honoring opt-out and unsubscribe requests promptly.
10.4. Prohibited Email Practices. You may not use the email features to send unsolicited bulk email (spam), emails containing malicious content, or emails that are deceptive or misleading. Violation of this section may result in immediate suspension or termination of your Account.
10.5. Deliverability. Giant Context does not guarantee email deliverability. Deliverability depends on many factors outside our control, including recipient server configurations, spam filters, and your sending reputation.
11. Prohibited Conduct
11.1. Acceptable Use Policy. Your use of the Service is subject to our Acceptable Use Policy ("AUP"), which is incorporated herein by reference. The AUP describes prohibited activities and content in detail.
11.2. General Prohibitions. Without limiting the AUP, you agree not to:
- Use the Service for any illegal purpose or in violation of any applicable law or regulation;
- Upload, transmit, or store any Content that infringes or violates any third party's rights;
- Attempt to gain unauthorized access to the Service, other Accounts, or any systems or networks connected to the Service;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse engineer, decompile, or disassemble any part of the Service;
- Use the Service to send unsolicited communications, spam, or phishing attacks;
- Use the Service to develop a competing product or service;
- Resell, sublicense, or transfer access to the Service without our express written consent;
- Circumvent or attempt to circumvent any usage limits, rate limits, or security measures.
11.3. Enforcement. We reserve the right to investigate any suspected violation of these Terms or the AUP and to take appropriate action, including removal of Content, suspension, or termination of your Account.
12. Suspension & Termination
12.1. Termination by You. You may terminate your Account at any time by contacting us or using the Account deletion feature in the Service.
12.2. Suspension or Termination by Giant Context. We may suspend or terminate your Account or access to the Service at any time, with or without cause, and with or without notice. Grounds for suspension or termination include, but are not limited to: violation of these Terms or the AUP, fraudulent or illegal activity, non-payment, or extended inactivity.
12.3. Data Export Window. Upon termination, we will provide a thirty (30) day window during which you may export your Customer Data. We will make commercially reasonable efforts to assist with data export during this period.
12.4. Data Deletion. After the 30-day data export window, we will delete your Customer Data from our active systems. Some data may persist in encrypted backups for a limited period consistent with our data retention practices, after which it will be permanently deleted.
12.5. Survival. Sections 5 (Fees), 6 (User Content & IP), 7.6 (AI Disclaimer), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 16 (Dispute Resolution), and 18 (Miscellaneous) shall survive any termination or expiration of these Terms.
13. Disclaimers
13.1. AS IS. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GIANT CONTEXT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.2. No Guarantee. GIANT CONTEXT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE.
13.3. Third-Party Content. GIANT CONTEXT IS NOT RESPONSIBLE FOR ANY THIRD-PARTY CONTENT, SERVICES, OR INTEGRATIONS ACCESSED THROUGH OR IN CONNECTION WITH THE SERVICE.
14. Limitation of Liability
14.1. Exclusion of Indirect Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GIANT CONTEXT, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF GIANT CONTEXT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
14.2. Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GIANT CONTEXT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO GIANT CONTEXT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).
14.3. Basis of the Bargain. YOU ACKNOWLEDGE THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THESE TERMS REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK AND FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND GIANT CONTEXT. GIANT CONTEXT WOULD NOT BE ABLE TO PROVIDE THE SERVICE ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.
15. Indemnification
15.1. Your Indemnification Obligations. You agree to indemnify, defend, and hold harmless Giant Context, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service;
- Your Customer Data;
- Your violation of these Terms, the AUP, or any applicable law;
- Your infringement or violation of any third party's rights, including intellectual property, privacy, or publicity rights;
- Your use of the email features, including any claims related to unsolicited communications;
- Any activity conducted through your Account, whether or not authorized by you.
15.2. Procedure. Giant Context will promptly notify you of any claim subject to indemnification and will provide reasonable cooperation in the defense of such claim. You may not settle any claim without Giant Context's prior written consent if such settlement would impose any obligation on Giant Context or admit any liability on Giant Context's behalf.
16. Dispute Resolution
16.1. Governing Law. These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict of laws principles.
16.2. Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@giantcontext.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within thirty (30) days of receiving your notice.
16.3. Binding Arbitration. If the dispute is not resolved informally within thirty (30) days, any remaining dispute, controversy, or claim shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Vernon, British Columbia, or at another mutually agreed location. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
16.4. Small Claims Carve-Out. Notwithstanding Section 16.3, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.
16.5. Class Action Waiver. YOU AND GIANT CONTEXT AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
16.6. Exceptions. Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.
17. Changes to Terms
17.1. Right to Modify. We reserve the right to modify these Terms at any time. We will provide at least thirty (30) days' advance notice of material changes by posting the revised Terms on our website and/or notifying you via the email address associated with your Account.
17.2. Effective Date. Changes will take effect on the date specified in the notice. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
17.3. Rejection of Changes. If you do not agree with the revised Terms, you must stop using the Service and terminate your Account before the changes take effect.
18. Miscellaneous
18.1. Entire Agreement. These Terms, together with the AUP, Privacy Policy, and any other policies referenced herein, constitute the entire agreement between you and Giant Context regarding the Service and supersede all prior or contemporaneous agreements, representations, or understandings.
18.2. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
18.3. Waiver. The failure of Giant Context to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Giant Context.
18.4. Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Giant Context may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of our assets.

18.7. Independent Contractors. The relationship between you and Giant Context is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
18.8. No Third-Party Beneficiaries. These Terms are for the benefit of you and Giant Context only. There are no third-party beneficiaries.
